By accessing or using any service, platform, product, or digital tool provided by Nova Axis Limited ("Nova Axis," "we," "our," or "us"), you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must cease use of our services immediately.

These Terms apply to all users including visitors, clients, contractors, vendors, and registered account holders. Nova Axis reserves the right to update or modify these Terms at any time without prior notice. Continued use of our services after any modification constitutes acceptance of the revised Terms. The most current version of the Terms will always be available on our website.

These Terms constitute a legally binding agreement between you and Nova Axis Limited, a company duly registered under the laws of the Federal Republic of Nigeria.

You must be at least 18 years of age and legally capable of entering into binding agreements to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

Where account registration is required, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Nova Axis must be notified immediately of any unauthorised use or suspected breach of your account.

Nova Axis reserves the right to suspend or terminate accounts at any time, with or without notice, where there is reasonable suspicion of misuse, fraud, or violation of these Terms.

You may use Nova Axis services solely for lawful purposes and in accordance with these Terms. Our services including renewable energy solutions, solar installations, EV infrastructure, advisory services, EPC/EPC+F delivery, and digital platforms are intended for legitimate commercial, institutional, and residential energy purposes.

You agree not to: (a) use our services in any manner that violates applicable Nigerian law, international regulations, or local ordinances; (b) transmit any unsolicited or unauthorised advertising or promotional material; (c) impersonate any person or entity or misrepresent your affiliation with any person or entity; (d) engage in any conduct that restricts or inhibits the use or enjoyment of our services by any other person.

Any attempt to gain unauthorised access to Nova Axis systems, networks, or databases is strictly prohibited and may result in civil and criminal liability.

All content on our website and platforms including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software is the property of Nova Axis Limited or its content suppliers and is protected by Nigerian intellectual property laws, international copyright conventions, and applicable treaties.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use our digital content solely for your personal or internal business use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our platforms without prior written consent from Nova Axis.

The Nova Axis name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Nova Axis Limited. You must not use such marks without prior written permission.

Detailed terms governing solar installations, EPC projects, renewable energy delivery, advisory engagements, EV infrastructure deployments, and all related energy services are set out in individual service agreements, project contracts, and/or engagement letters issued by Nova Axis. These Terms of Use supplement but do not replace such agreements.

Nova Axis operates in compliance with the Nigerian Electricity Regulatory Commission (NERC) regulations, the Rural Electrification Agency (REA) guidelines, the Energy Commission of Nigeria (ECN) policies, and other applicable regulatory frameworks governing energy service delivery in Nigeria.

Project timelines, technical specifications, energy output estimates, and financial projections provided during advisory or pre-contract phases are indicative only and subject to site conditions, regulatory approvals, third-party factors, and formal project agreements.

Our website and digital platforms are provided on an 'as is' and 'as available' basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nova Axis does not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. Energy output projections, cost estimates, and advisory information provided through our platforms are based on available data and professional judgement and do not constitute guaranteed outcomes.

Nova Axis makes no representations regarding the accuracy, reliability, or completeness of any content on third-party websites linked to or from our platforms.

To the fullest extent permitted by applicable Nigerian law, Nova Axis Limited, its directors, officers, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, or cost of substitute services arising out of or in connection with your use of our services or these Terms.

In no event shall the total liability of Nova Axis to you for all claims arising under these Terms exceed the amount paid by you to Nova Axis in the twelve (12) months preceding the event giving rise to the claim, or NGN 500,000, whichever is greater.

Nothing in these Terms limits Nova Axis's liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.

Our platforms may contain links to third-party websites, services, or resources. Nova Axis provides these links for convenience only and does not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Nova Axis shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any third-party sites.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts of the Federal Republic of Nigeria.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days. Where resolution cannot be reached through negotiation, disputes shall be referred to arbitration in accordance with the Arbitration and Mediation Act (as amended), with arbitration seated in Nigeria.

Nothing in this clause prevents Nova Axis from seeking urgent injunctive or interim relief in any court of competent jurisdiction.

Nova Axis may terminate or suspend your access to our services immediately, without prior notice or liability, for any breach of these Terms or for any other reason at Nova Axis's sole discretion. Upon termination, your right to use the services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
